ATLAS ICS has never had any authority to deal with anyone concerning PhOSCo.

Mr Joseph Lehel and Mr David Jeffries

It is a matter of public record that Mr Joseph Lehel, a principal director of ATLAS ICS Ltd, was and may still be also a director of Pegasus Business Engineering Ltd and Clinnet Company Ltd.

We are not aware of the current activities of Mr Jeffries.

Until early in 2000, ATLAS was the agent of Guillemot Design Ltd for the licencing of the "Clinware" Remote Data Entry software product and the provision of software maintenance for that software. Guillemot owns the copyright and all intellectual rights to Clinware RDE, as well as PhOSCo Clinical Trials software.

During the past few years, ATLAS apparently employed the services of a Mr David Jeffries as a "consultant". We were never aware of the scope of the activities of Mr Jeffries and were not in any way responsible for him or in control of his actions. Mr Jeffries has never been our agent or authorised to act or speak on behalf of us in any capacity whatsoever; anything he may have done or said was entirely on his own behalf or that of ATLAS.

Important notice

We have only recently become aware of some of the alleged behaviour of ATLAS ICS from 1998 to 2000. We would like to make it absolutely clear that we were not aware of any of the actions complained of and if we were we would have dissociated ourselves from them absolutely. We would also like to make it clear that at no time did ATLAS ICS own any intellectual property or other rights in the Clinware software.

We do not now employ agents and do not intend to do so in the future.

During March 2000, Guillemot became aware that for the previous fifteen months, significant sales of Clinware licences had been made, and large royalties paid to ATLAS on at least seven separate occasions.

During this time ATLAS in the person of Mr Joseph Lehel represented to Guillemot that no sales had been made other than one small one late in 1999 and that no royalties other than for this were outstanding.

Though these sales were made through the IBM Corporation, there is no suggestion that IBM has at any time acted in an improper manner.

On being asked for an explanation, ATLAS stated to Guillemot that the royalties received from IBM had been diverted to other unspecified purposes and that ATLAS was not capable of paying any significant part of the liability.

Following our application for a winding-up order against ATLAS, we consented to ATLAS going into voluntary liquidation. At the Creditors' meeting, Mr Lehel stated that the majority of the missing royalties during the period in question had been diverted by ATLAS to unsecured personal loans to Mr Jeffries, who was apparently a business colleague and friend of long standing. Mr Lehel also stated that he paid himself and his family sums largely accounting for the rest. During the meeting, our solicitor requested that the liquidator, following his investigation, report the conduct of Mr Lehel to the Department of Trade and Industry so they may consider whether he is a person fit to be a company director. We have also reported the activities of Mr Lehel to the Police and we understand that investigations are continuing. When the liquidation is complete, we intend to pursue Mr Lehel and the other directors of ATLAS personally for any remaining liability.

On discovery, Guillemot cancelled all agreements with ATLAS and withdrew all rights they had to represent themselves as agents of Guillemot. ATLAS did not own any software licences or any other rights relating to Clinware and could not use or licence any software product of Guillemot. Any organisation or person with a contractual relationship with ATLAS which purports to deliver licences or services dependent on software copyright of Guillemot is warned that this was being supplied contrary to the express wishes and legal claims of Guillemot.

ATLAS never had any right to licence PhOSCo Clinical Trials or to offer any services related to it which imply any relationship or consent of Guillemot, the copyright owners of PhOSCo Clinical Trials software.

ATLAS had never, apart from one specific instance in 1999, reported to Guillemot the existence of any sales of software maintenance services, though Guillemot had periodically supplied software updates. Any organisation or person with an agreement with ATLAS which purports to provide such services is warned that this was made without the knowledge of Guillemot and does not bind them in any way. All software maintenance of Clinware software has always been performed by Guillemot.

Any company or person wishing to licence the Clinware RDE product or obtain maintenance or other services relating to it should contact Guillemot in the first place. If any person has obtained a Clinware licence or licence for RDE software under another name but apparently identical in function directly from ATLAS, they are warned that this was not supplied with the knowedge or consent of Guillemot and may not be a valid licence, and any such person should contact Guillemot.
